Modern Minds, along with our subsidiaries and affiliates, including Journey Wellness LLC (d/b/a Synchronicity) and Beemok Management, LLC (together, “Modern Minds,” or “we,” or “us”) respect your privacy and are committed to protecting it through our compliance with this privacy notice.

This Privacy Notice (our “Privacy Notice”) describes the types of information we may collect, use, maintain, protect, disclose, or otherwise process about you when you visit our websites that link to this Privacy Notice (each, a “Website”) and our practices for collecting, using, maintaining, protecting, disclosing, or otherwise processing that information.

Please read this Privacy Notice carefully to understand our policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, your choice is not to use our Websites. By accessing or using our Websites, you agree to this Privacy Notice. This Privacy Notice may change from time to time (see Changes to Our Privacy Notice). 2. When Does This Privacy Notice Apply?

This Privacy Notice applies to the information we may collect from you when:

  • you visit or use our Websites; and
  • you communicate with us electronically.

3. When Does this Privacy Notice Not Apply?

This Privacy Notice does not apply to information collected by any other website operated either by us or by a third party unless the website is listed above or links to this Privacy Notice. It also does not apply to any website that we may provide a link to or that is accessible from our Website.

This Privacy Policy does not apply to information collected from users while being treated as a patient of our facilities and other Protected Health Information (“PHI”) as defined under the Health Insurance Portability & Accountability Act and related federal and state laws and regulations (collectively referred to as “HIPAA”). That information is governed by a separately provided Notice of Privacy Practices. Please see that notice for information on how we handle PHI and your rights regarding your PHI. We will not use or disclose information collected from patients for advertising or marketing except as otherwise permitted by HIPAA and other applicable law. We will not sell any PHI in violation of HIPAA.

4. Information We Collect About You and How We Collect It.

Throughout this Privacy Notice, the term “Personal Data” means any information that identifies, relates to, describes, references, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual or device. However, Personal Data does not include any deidentified or aggregated information.

Generally

We collect Personal Data from various sources, including:

  • directly from you when you provide it to us;
  • automatically as you navigate through or otherwise use the Websites; and
  • from third parties, such as a referring provider.

Information You Provide to Us

We collect the following types of Personal Data directly from you when you access or use our Websites: real name and email address. In addition, we also collect other types of information that you may provide when you fill out a form or through your correspondence with us.

The Personal Data we collect on or through our Websites include:

  • information you provide to us directly when you use our Websites or inquire about our services; and
  • if you contact us, records and copies of your correspondence (including email addresses).

Information We Collect Through Automatic Data Collection Technologies

As you navigate and interact with our Websites, we may use automatic data collection technologies to collect certain Personal Data about your interaction with our Websites, including information about your equipment, browsing actions, and patterns. This includes:

  • Web Beacons. Pages of our Website and our e-mails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs). We use web beacons to deliver cookies, count visits, understand usage and campaign effectiveness, and tell whether you open an email and act upon it; and
  • Website Interaction and Performance Monitoring Tools. Our Websites may also use interaction and/or performance monitoring tools (sometimes called scripts, analytics tools, session replay tools, or heatmap tools). These tools execute code in your web browser to help us collect data about your use of and interactions with the pages and content on our Websites. This may include recording your mouse movements, keystrokes, navigation pathways, other actions that you take on our Websites, and information automatically transmitted from your web browser to our Websites such as information about your operating system, computer hardware, and browser preferences.

By continuing to use our WebsiteS, you hereby consent to our recording your mouse movements, keystrokes, navigation pathways, other actions that you take or communications you may have with our Websites AND TO OUR DISCLOSURE OF THIS RECORDED INFORMATION TO THIRD-PARTY TOOL PROVIDERS.

The information we collect automatically may include Personal Data, or we may maintain it or associate it with Personal Data we collect in other ways or receive from third parties. It helps us to improve our Websites and to deliver a better and more personalized service by enabling us to: (i) estimate our audience size and usage patterns; (ii) store information about your preferences; (iii) customize our Websites according to your individual interests; (iv) speed up your searches; and (v) recognize you when you return to our Websites.

Third-Party Use of Cookies and Other Tracking Technologies

Some content or applications, including advertisements, on the Websites are served by third parties, including advertisers, content providers, and analytics providers. Information We Collect from Third Parties

In certain circumstances, such as when you book a wellness appointment or other non-healthcare services which are not governed by our Notice of Privacy Practices, we may receive Personal Data from third-party service providers that support scheduling, registration, or related services to facilitate the appointment. These providers may operate their own websites or applications and may require you to create an account. The specific Personal Data we receive will depend on the information you choose to provide to those third parties and the nature of the services you request. We may combine this information with other information we collect. While the Personal Data we receive from third parties is subject to this Privacy Policy, those third-party providers may independently collect and process your information in accordance with their own privacy policies. We encourage you to review the privacy policies of any third-party websites or applications you use.

5. How We Use Your Information.

We use information that we collect about you or that you provide to us, including any Personal Data:

  • fulfill or address the reason you provided the information and to facilitate your access to our Websites;
  • to provide, support, personalize, develop, and improve our Websites;

  • to allow you to participate in interactive features on our Websites;

  • in any other way we may describe when you provide the information or as otherwise permitted by applicable law.

With your consent, we may also use your Personal Data to contact you about our services and offers that may be of interest to you. 6. Disclosure of Your Personal Data.

We do not share, sell, or otherwise disclose your Personal Data for purposes other than those outlined in this Privacy Notice. However, we may disclose aggregated information about our users and information that does not identify any individual without restriction.

We may disclose Personal Data that we collect or you provide as described in this Privacy Notice:

  • to our subsidiaries and affiliates, but only limited information such as contact details (if you sign up for a newsletter) and website analytics. We do not share patient data;
  • to business partners, contractors, service providers, and other third parties we use to support our business. These entities provide, among other services, IT, infrastructure support, appointment scheduling, patient portal management, electronic form processing, client relationship management, administrative, and payment processing services. Depending on the entity and the nature of your interaction, your payments may be processed by different third-party payment service providers. Please note that each payment processor maintains its own privacy policy describing its privacy practices; we encourage you to review the privacy policy provided directly by the payment processor applicable to your transaction.
  • to a potential or actual buyer or other successor in the event of a planned or actual merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Modern Minds’ assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by Modern Minds about our users is among the assets transferred;
  • to fulfill the purpose for which you provide it;
  • for any other purpose disclosed by us when you provide the information; and
  • with your consent (if required by law) or as otherwise permitted by applicable law.

We may also disclose your Personal Data as necessary to:

  • comply with: (i) federal, state, or local laws, or to comply with a court order or subpoena to provide information; (ii) civil, criminal, or regulatory inquiry, investigation, subpoena, or summons by federal, state, or local authorities; and/or (iii) certain government agency requests for emergency access to your Personal Data if you are at risk or in danger of death or serious physical injury;
  • cooperate with law enforcement agencies concerning conduct or activities that we (or one of our service providers) believe may violate federal, state, or local law;
  • exercise or defend legal claims and to enforce or apply our Terms of Use and other agreements;
  • engage in any actual or contemplated merger, acquisition, asset sale or transfer, financing, bankruptcy, dissolution, or restructuring of (or similar transaction involving) all or part of our business; and/or
  • protect the rights, property, or safety of Modern Minds, its customers, or others.

7. Choices About How We Use and Disclose Your Information.

We do not control the collection and use of your information collected by third parties described above in Disclosures of Your Information. These third parties may also aggregate the information they collect with information from their other customers for their own purposes.

In addition, we strive to provide you with choices regarding the Personal Data we have collected about you. We have created mechanisms to provide you with control over your Personal Data:

  • Cookies and other Tracking Technologies. We may use certain tracking technologies that may record your activities on our Websites and your other online activities, and such recordings may be disclosed and processed by third parties who provide such technologies. You can adjust your browser’s settings to refuse all or some cookies. If you disable or refuse cookies, please note that certain parts of our Websites may be inaccessible or may not function properly. You may also disable our use of any non-essential cookies (e.g., analytics cookies) through the cookie consent manager on our Websites.   • As noted above, we do not control third parties’ collection or use of your information to serve interest-based advertising. However, these third parties may provide you with ways to choose not to have your information collected or used in this way. You can learn more about interest-based advertisements and your opt-out rights and options from members of the Network Advertising Initiative on its website (www.networkadvertising.org) and from members of the Digital Advertising Alliance on its websites by visiting www.aboutads.info. Please note that you may continue to receive generic ads that are not based on your preferences.
  • Web Beacons. Web beacons can be refused when delivered via email by disabling HTML images or refusing HTML (select “Text Only”) emails via your email software. In many instances, web beacons are reliant on cookies to function properly, and so declining cookies will impair their functionality.
  • Direct Marketing from Modern Minds. We may send promotional or marketing-related emails to you, and where required by law, we will obtain your consent to do so. You may opt out of such communications at any time by clicking the “unsubscribe” link at the bottom of the email. If you opt-out of receiving these types of emails from us, please note that you may continue to receive transactional, appointment, or account-related communications from us.

8. Your Other Rights.

In addition to the choices made available to you with regard to the Personal Data that you provide to us; you can review and change the Personal Data associated with your account by logging into your account and visiting your account profile page.

You may also send us an email via the Contact Information below to request access to, correct, or delete any Personal Data that we have collected about you. We may not accommodate a request to change or delete your Personal Data if we believe the change or deletion would violate any law or legal requirement or cause the information to be incorrect.

9. Do Not Track Signals.

Some web browsers permit you to broadcast a signal to websites and online services indicating a preference that they “do not track” your online activities. However, there is no accepted standard for how a website or online service should respond to this signal, and at this time, we do not take any action in response to such a signal.

10. Data Security.

We have implemented measures designed to secure your Personal Data from accidental loss and from unauthorized access, use, alteration, and disclosure. The safety and security of your information also depend on you.

Unfortunately, the transmission of information via the internet is not completely secure. Although we have implemented measures to protect your Personal Data, we cannot guarantee the security of your Personal Data transmitted to our Websites. Any transmission of Personal Data is at your own risk. We are not responsible for circumvention of any privacy settings or security measures deployed on the Websites.

11. Third-Party Sites.

Our Websites may contain links to third-party websites or services that are not owned or controlled by us. Please be aware that we are not responsible for the privacy practices of such other websites or services. The privacy practices of these third parties, including details on the information they may collect about you, are subject to the privacy statements of these parties, which we suggest you review.

12. Children Under the Age of 18.

Our Websites are not intended for children under 18 years of age. No one under the age of 18 may provide any Personal Data to or on the Websites. We do not knowingly collect Personal Data from children under 18. If you are under 18, do not use or provide any information on our Websites or on or through any of respective features, including your name, address, telephone number, email address, or any screen name or username you may use. If we learn we have collected or received Personal Data from a child under 18, we will delete that information. 13. Changes to Our Privacy Notice.

We may change this Privacy Notice at any time. It is our policy to post any changes we make to our Privacy Notice on this page. The date this Privacy Notice was last updated is identified at the top of the page. You are responsible for periodically visiting our Websites and this Privacy Notice to check for any changes. Your continued use of our Websites following the posting of changes constitutes your acceptance of such changes.
